Corporate Paralegal – Principal

Kelly is the founder and owner of Eclipse Corporate Services Limited.  Previous to forming Eclipse, Kelly was employed at a leading international fund administration company, as a Senior Corporate Administrator.  In this role Kelly had significant experience working directly with hedge fund managers and their counsel assisting with various corporate transactions, acting as liaison with service providers, participating at board meetings, taking minutes of board meetings, drafting agreements and resolutions and assisting with other transactional documents, while working remotely at a satellite office.  Kelly has significant experience in compliance matters dealing with all statutory and regulatory matters in Bermuda, Cayman Islands and the British Virgin Islands.

Kelly has 23 years experience in various aspects of corporate law.  Kelly began her career at a law firm in Toronto Canada, specializing in intellectual property and following that, moved back to her hometown of Halifax, Nova Scotia, where she worked at one of the leading law firms in Atlantic Canada as a corporate/ commercial paralegal and executive assistant to the managing partner.   In this role, Kelly assisted with incorporation of Nova Scotia companies, formation of partnerships, preparation of minute books, maintenance of annual renewals and assisted with various corporate transactions.  In addition to forming Eclipse, Kelly also instructed at a local college teaching the corporate/commercial module.

PrincipalCheryl is a founder and owner of Eclipse Corporate Services Limited and has over 21 years experience as a paralegal.  Cheryl was formerly employed with CACEIS SA (formerly Olympia Capital International Inc.), a leading international fund administration company, where she worked as a Senior Corporate Legal Administrator.  Cheryl worked directly with hedge fund managers, offshore and/or onshore counsel, service providers and directors to assist in the completion of various transactions including fund launches and credit facilities.  As well, she attended at, and prepared the minutes of, director and shareholder meetings.  Cheryl also worked directly with each of the hedge fund’s service providers to ensure compliance with statutory and regulatory matters in Bermuda, Cayman Islands, British Virgin Islands and the Bahamas.
